In any event, under no circumstances shall the total liability of Nexaspulse LTD, its affiliates, agents, directors, employees, suppliers, or licensors exceed the amount paid to Nexaspulse LTD or its affiliates. This limitation of liability applies regardless of the legal basis for the alleged liability, whether based on contract, tort, negligence, strict liability, or any other theory, and even if Nexaspulse LTD has been advised of the possibility of such damages.


Confidentiality

Definition:

"Confidential Information" refers to any information disclosed by one party to the other under this agreement, whether directly or indirectly, through written, oral, or visual means. This includes, but is not limited to, documents, Personal Data, software, equipment, operational plans, and any other information that may be shared in the course of this relationship. Confidential Information also includes information disclosed to the disclosing party by third parties. However, Confidential Information does not include information that: (i) was publicly accessible before the time of disclosure by the disclosing party; (ii) becomes publicly accessible after disclosure by the disclosing party due to any action or inaction of the receiving party; (iii) was lawfully in the possession of the receiving party before disclosure by the disclosing party, as evidenced by the receiving party's records; (iv) is obtained from a third party without violating the third party's confidentiality obligations; (v) is independently developed by the receiving party without reference to or use of the disclosing party's Confidential Information, as demonstrated by documentary evidence in the possession of the receiving party; or (vi) is required to be disclosed by law, provided that the receiving party promptly notifies the disclosing party in writing of such legal obligation before disclosure and assists in seeking a protective order or other means of preventing or limiting public disclosure, disclosing only the minimum amount of Confidential Information required by law.


Non-Use and Confidentiality:

Both parties agree to use the Confidential Information of the other party solely for the purposes explicitly authorized by this agreement. Each party commits to maintaining the confidentiality of the other party's information and agrees not to disclose it to any third party, except as provided for in the relevant sections of this agreement.


Confidentiality of Commercial Terms:

The parties further agree that the commercial terms and conditions outlined in this agreement, including but not limited to pricing, timelines, and deliverables, shall be treated as Confidential Information. No public statements, press releases, or other references to the terms and conditions of this agreement shall be made without prior consultation and mutual agreement between the parties. Exceptions to this confidentiality obligation include: (i) disclosures required by law, provided the disclosing party gives sufficient notice to the other party to allow them to seek a protective order; (ii) disclosures to legal counsel, who must maintain the same level of confidentiality as other Confidential Information; (iii) disclosures related to an initial public offering or securities filing, with the understanding that appropriate confidential treatment will be sought; (iv) disclosures to accountants, banks, financing sources, and their advisors, under the condition that they maintain confidentiality with the same level of care as other Confidential Information; and (v) disclosures made in connection with a merger, acquisition, or similar transaction, provided that the recipient is informed of their confidentiality obligations and appropriate measures are taken to protect the information.

Refund Policy

Refunds will be processed using the original payment method used for the purchase. Typically, a refund takes approximately 15 days to complete, but it will not exceed 45 days under any circumstances. Please note that refunds cannot be issued in cryptocurrency.

The User or Purchasing User consents to the non-exclusive jurisdiction of United Kingdom courts, while Nexaspulse LTD retains the right to enforce the agreement in any court of competent jurisdiction.

Severability
